We would like to remind you that minutes for an annual meeting of the stockholders and an annual meeting of the board of directors should be prepared annually so that your corporate records remain in compliance with corporate law. This is critically important if the Internal Revenue Service ever audits your company or if your company is ever involved in litigation.

Kansas Law also requires that business entities registered with the Kansas Secretary of State file an annual report and pay a franchise tax. The law states that failure to do so results in forfeiture of the business entity. Annual reports of for-profit corporations, limited liability companies, limited partnerships, business trusts, and most foreign entities are due the 15th day of the fourth month following the close of the entity’s fiscal year.
The Secretary of State’s office no longer automatically mails annual report forms to you. The annual report forms are available on the website for the Kansas Secretary of State (www.kssos.org). The forms can also be obtained by mail or fax by calling (785) 296-4564.
